Board Governance and Compliance Coordinator (Voluntary)
Overview
The Board of The Island Foundation is looking for an individual with relevant experience, preferably in NGO board management and development, to support a strong and effective governance function and maintain high standards of compliance.
The ideal candidate will have a detail oriented, task focused, strategic approach to life, allied with confident and structured communication skills.
They should also identify with the purpose of The Island Foundation and have a strong desire to contribute.
Please note: This is a volunteer position with The Island Foundation and is not a Board role itself. The Island Foundation is a NGO registered with the Singapore Charities Commission.
Overview of the role
The Board Governance and Compliance Coordinator is responsible for maintaining organizational documents, recording the activities of the board and helping to ensure ongoing legal compliance, as well as being an integral part of the Board function.
The candidate will also be a Board Observer and will need to be familiar with member-at-large responsibilities and organisational bylaws.
The Board Governance and Compliance Coordinator shall be responsible for:

Working with the Chair and Executive Director to prepare annual Board plans and agendas.

Working with the Chair and Vice Chair to plan, deliver and monitor continuous improvement in Board performance.

Supporting the Board and Executive Director with ongoing fundraising activities, proposal documents and events.

Maintaining Board records and ensuring effective management of the organisation’s records.

Assisting with the drafting, internal distribution and filing of Board-related content and papers.

Managing Board meeting minutes: collecting and sending a draft of the minutes and actions to the Chair for approval prior to distributing to the rest of the Board.

Keeping members prompted regarding agreed actions and deliverables.

Working with the Chair and Executive Director to ensure all decisions and documents are recorded and filed.

Assisting the Chair and other members in coordinating ad hoc board and committee calls.

Maintaining familiarity with legal documents (articles, by-laws, Charity Filing, etc.) to reference when necessary in Board meetings.

Maintaining a chart of starting and ending dates for each Board Member.

Assisting the Board Chair and Treasurer with Charity Commission compliance and filings.
The Board Governance and Compliance Coordinator is expected to:

Commit to at least three years as a volunteer.

Prepare for and attend formal Board meetings with a minimum of four each year.

Participate in other Board calls as reasonably required.

Make at least one field trip a year to Bintan Regency, Indonesia, inclusive of Board Offsite.

Have capacity and time (approximately 15 hours per quarter) to contribute effectively.

Build a collegiate working relationship with Board members.

Follow the organisation’s by-laws, policies, and board resolutions.

Maintain confidentiality about all internal matters of TIF.
